These Terms of Service (“Terms”) govern access to and use of the Japan Watchdesk website and the purchase or use of products and services provided by Japan Watchdesk (“Japan Watchdesk,” “we,” “us,” or “our”).
By purchasing, subscribing to, requesting, or using any Japan Watchdesk product or service, you agree to these Terms.
1. Services
Japan Watchdesk provides Japan-focused business intelligence, research, analysis, monitoring, and consulting services for overseas companies and decision-makers.
Our services may include market research, regulatory and policy analysis, market-entry intelligence, partner and supplier research, real estate and tourism intelligence, monitoring services, customized research, reports, briefings, and advisory or consulting services.
Services may be offered as one-time purchases, recurring subscriptions, custom quotations, project-based engagements, collaborations, or retainers.
2. Nature of Information
Japan Watchdesk provides information and analysis for general business and decision-support purposes.
Unless expressly stated otherwise in a separate written agreement, our products and services do not constitute legal, tax, accounting, investment, financial, immigration, or other regulated professional advice.
Customers are responsible for obtaining appropriate professional advice where necessary before making decisions based on information provided by Japan Watchdesk.
3. Orders and Engagements
An order or engagement becomes effective when payment is successfully completed or, for quotation-based or customized services, when the applicable proposal, quotation, statement of work, or other agreement is accepted.
We reserve the right to decline an order or engagement where we reasonably determine that the requested work is outside our scope, creates a conflict, cannot reasonably be completed, or may violate applicable law.
If payment has already been received for work that we subsequently decline before work begins, the applicable payment will be refunded.
4. Prices and Payment
Prices for fixed-price products and services are displayed on the applicable product or service page.
Prices for customized, project-based, collaboration, and retainer services may be provided separately by quotation or proposal.
Payments are processed through authorized third-party payment providers. Japan Watchdesk does not directly store complete payment card information.
Applicable taxes, currency conversion charges, bank fees, or other charges may apply depending on the customer’s location and payment method.
5. Recurring Services and Subscriptions
Certain monitoring, intelligence, or other services may be offered on a recurring subscription basis.
By purchasing a recurring service, you authorize the applicable payment provider to charge the stated recurring fee according to the billing cycle presented at the time of purchase.
Subscriptions continue until cancelled unless otherwise stated.
Customers may request cancellation before the next billing date using the cancellation method provided for the service or by contacting:
Cancellation prevents future renewal charges but does not ordinarily result in a prorated refund for the current billing period, except where required by applicable law or expressly stated otherwise.
6. Delivery
Delivery methods and timelines depend on the product or service purchased.
Fixed-scope digital products may be delivered electronically or made available through the method described on the applicable product page.
Customized research, consulting, monitoring, collaboration, and other services may require communication with the customer before work begins.
Estimated delivery dates are estimates unless expressly agreed otherwise in writing.
7. Customer Responsibilities
Customers are responsible for providing accurate and reasonably complete information necessary for Japan Watchdesk to perform the requested service.
Delays caused by missing information, delayed responses, inaccurate instructions, or other circumstances attributable to the customer may affect delivery schedules.
Customers must not use Japan Watchdesk products or services for unlawful, fraudulent, misleading, or abusive purposes.
8. Cancellations and Refunds
Because many Japan Watchdesk products and services involve digital information, research, analysis, customized work, or professional services, cancellation and refund eligibility depends on the nature and stage of the applicable service.
Once customized research or other individually commissioned work has commenced, cancellation or refund may be limited to the extent permitted by applicable law.
Digital products or completed deliverables that have already been supplied may not ordinarily be refundable except where required by applicable law.
Where Japan Watchdesk is unable to provide a purchased service for reasons attributable to us, we will provide an appropriate remedy, which may include re-performance, replacement, credit, or refund as appropriate.
Product-specific or engagement-specific cancellation and refund conditions presented before purchase will also apply.
Nothing in these Terms excludes rights that cannot legally be excluded under applicable consumer protection laws.
9. Intellectual Property
Unless otherwise stated, Japan Watchdesk retains all intellectual property rights in reports, research, analysis, methodologies, databases, website content, and other materials created by Japan Watchdesk.
A customer purchasing a product or service receives a limited, non-exclusive right to use the resulting materials for the customer’s own internal business purposes.
Unless expressly authorized in writing, customers may not reproduce for commercial distribution, resell, sublicense, publish, systematically redistribute, or create a competing database or information service from Japan Watchdesk materials.
Reasonable internal sharing within the purchasing organization is permitted unless otherwise specified for the applicable product or service.
10. Sources and Third-Party Information
Japan Watchdesk may use publicly available information, official publications, third-party data, and other external sources when preparing research and analysis.
We seek to provide accurate and useful information, but third-party information may contain errors, omissions, delays, revisions, or subsequent changes.
References to third-party companies, organizations, government bodies, products, or services do not imply endorsement or affiliation unless expressly stated.
11. No Guarantee of Business Outcomes
Research, intelligence, analysis, recommendations, introductions, partner searches, market-entry support, and other Japan Watchdesk services do not guarantee any particular commercial result.
We do not guarantee regulatory approval, investment returns, transactions, partnerships, sales, visas, licenses, property acquisitions, financing, subsidies, government approvals, or other third-party decisions or outcomes.
Customers remain responsible for their own business and investment decisions.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Japan Watchdesk will not be liable for indirect, incidental, special, consequential, or lost-profit damages arising from the use of our products, services, or information.
Where liability cannot legally be excluded, our liability will be limited only to the extent permitted under applicable law.
Nothing in these Terms limits liability where such limitation is prohibited by law.
13. Confidentiality
For customized engagements, Japan Watchdesk will take reasonable measures to protect non-public business information supplied by customers.
Confidentiality obligations requiring specific terms, security requirements, non-disclosure agreements, or data-processing arrangements must be agreed separately in writing where necessary.
14. Privacy
Personal information is handled in accordance with our Privacy Policy.
15. Changes to Services or Terms
We may update these Terms from time to time to reflect changes in our services, business practices, payment arrangements, or applicable requirements.
The updated Terms will be published on this website with a revised “Last Updated” date.
For an existing separately contracted engagement, any individually agreed written terms will continue to apply according to that agreement.
16. Individual Agreements
Certain customized, collaboration, subscription, or retainer engagements may be subject to a separate quotation, proposal, statement of work, or written agreement.
If an individually agreed term conflicts with these general Terms, the individually agreed term will govern the relevant engagement to the extent of that conflict.
17. Governing Law
These Terms are governed by the laws of Japan, without regard to conflict-of-law principles.
Any dispute concerning these Terms or Japan Watchdesk services will be subject to the jurisdiction provided under applicable Japanese law, unless otherwise required by mandatory applicable law or separately agreed in writing.
